Construction of Corporate Governance Mechanisms Based on Coordinated Management

Abstract:

Nowadays, the domestic corporate governance mechanisms are not matching their structure, which seriously restricts the increase of enterprise efficiency. This paper, in the view of coordinated management ,analyzed the interrelationship between coordinated management and corporate governance. By constructing the optimal utility model of the behavior choice of enterprise operator, this issue showed that corporations should build reasonable supervision &incentive mechanisms to regulate operators’ actions, in order to enhance enterprise efficiency and realize the coordinated management .According to the analysis on the equilibrium solution of the model, this paper constructed the corporate governance mechanisms based on coordinated management.
