Abstract: this paper establishes fair incentive model of large-scale dredging project using principal-agent theory and fairness preference theory and analyzes the influence of technical parameters of ships and bid price of the dredging project on principal, agent incentives and profits.
In recent decades, behavioral economists and experimental economists have conducted a large number of empirical and experimental researches and research results indicate that people are self-interested within limits and they will also care about the welfare of others and whether the distribution of material benefits is fair or behavioral motive is fair.
Assume that total work amount of individual dredging project is Q cubic meters; i represents agent, i=1,2,…,N; xi is bid price of i agent for one square cubic of land, Yuan/m3; pi is hourly output of the ith agent, m3/hour; pmi is rated hourly output of ship of the ith agent, m3/hour; ti is oil consumption and material consumption of i agent, Yuan/m3; c0i is fixed cost of i agent, Yuan/hour; p0i is critical production of i agent, m3/hour; vi is profit of the project undertaken by i agent, Yuan/hour; v1i is profit obtained by the principal from the project undertaken by i agent, Yuan/hour; yi is payment to i agent made by the principal, Yuan/hour; v2i is revenue of i agent, Yuan/hour.

At present, the project cost, schedule and quality in the construction contract are not up to standard [1], the existing problems of cross-sea bridge construction projects in contract management are:
(1).the contract management efficiency is not high ;( 2).the enterprise contract management legal awareness is not strong. some relative laws are not perfect, the engineering contractor is in a passive position, and faced with very unfavorable contract signing and implementation of environmental, a small number of the contract is unfair;(3). in some engineering practice, the main qualification review of the construction contract is not tight, the construction of the terms of the contract responsibility is not clear, Some companies underestimated the risk of price fluctuations for construction materials and equipment, do not attach importance to the contract management system and system, and lack of effective supervision and control of the execution of the contract; (4). some construction enterprises
